Terms for using kloo

Terms of Service

Effective and last updated August 1, 2026

kloo helps teams carry engineering intent into the work that follows. These Terms establish the practical ground rules: your projects remain yours, you must have authority to share what you submit, and early-access features will continue to change.

1. Agreement to these Terms

These Terms of Service (“Terms”) are an agreement between you and Daedalus Embedded, Inc. (“Daedalus,” “kloo,” “we,” “us,” or “our”) governing your access to and use of usekloo.com, the kloo platform, and related software, websites, and services (collectively, the “Services”).

By accessing or using the Services, creating an account, accepting an invitation, or otherwise indicating acceptance, you agree to these Terms and our Privacy Policy. If you use the Services for an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

If you do not agree, do not access or use the Services. Additional written terms, an order form, or a data-processing agreement may apply to particular paid or organizational use. If those terms conflict with these Terms, the specifically agreed written terms control for that use.

2. Eligibility and accounts

You must be at least 16 years old to use the Services. If you have not reached the age at which you may enter a binding contract where you live, you may use the Services only with authorization from a parent, legal guardian, school, employer, or other organization that is legally able to accept these Terms for or with you.

You must provide accurate account information and keep it current. You are responsible for activity under your account, maintaining appropriate account security, and promptly notifying us at [email protected] if you suspect unauthorized access. Authentication and account-management functions may be provided through Clerk and are also subject to Clerk’s applicable terms and policies.

Organization owners and administrators may manage access, permissions, project membership, and organization-controlled accounts. If your account is provided by an organization, that organization may be able to access, manage, export, restrict, or delete information associated with the account.

3. The Services

kloo is designed to help users capture engineering intent, organize and present project artifacts, support handoff among stakeholders, and provide structured context to tools and agents selected by users. Features, supported artifact types, integrations, permissions, and limits may change over time.

kloo is a context and orchestration layer. It is not a substitute for engineering review, testing, safety analysis, regulatory compliance, professional judgment, or source-of-truth records required by your organization. You remain responsible for verifying designs, generated materials, implementations, releases, and other engineering outputs before relying on them.

4. Acceptable use

You may not use the Services to:

  • violate law, regulation, contractual obligations, or another person’s rights;
  • upload or use content you do not have authority to possess, use, or disclose;
  • introduce malware, malicious code, or material intended to disrupt or compromise systems;
  • probe, scan, or test vulnerabilities except under a program or written authorization from us;
  • bypass access controls, usage limits, authentication, or security measures;
  • access another user’s account, project, or content without authorization;
  • use the Services to develop weapons, cause physical harm, facilitate unlawful surveillance, or support other unlawful or intentionally harmful activity;
  • misrepresent the origin, provenance, approval status, or authorship of engineering content;
  • scrape, resell, sublicense, or commercially exploit the Services except as expressly permitted; or
  • use automated means in a manner that unreasonably burdens, disrupts, or damages the Services.

We may establish reasonable technical limits and usage policies to protect users and the Services. We will endeavor to communicate material limits that affect ordinary use.

5. Your content and project ownership

As between you and Daedalus, you retain ownership of the schematics, code, intent records, documents, artifacts, comments, metadata, and other content you submit to or connect with the Services (“Customer Content”). These Terms do not transfer ownership of Customer Content to us.

You grant Daedalus a limited, non-exclusive, worldwide license to host, copy, transmit, display, organize, format, and otherwise process Customer Content only as reasonably necessary to provide, secure, maintain, and support the Services; follow your instructions; comply with law; and enforce these Terms. This license lasts only while needed for those purposes, subject to reasonable backup, security, and legal-retention periods.

You represent that you have all rights and permissions necessary for Customer Content and for our processing of it under these Terms. You are responsible for the accuracy, legality, integrity, and appropriate classification of Customer Content and for configuring access permissions suitable for your project.

Daedalus does not use Customer Content to train general-purpose AI models unless you expressly opt in to a separate program.

Feedback

If you voluntarily provide suggestions or feedback about kloo, you grant us permission to use it without restriction or compensation. This does not give us ownership of Customer Content or confidential project information merely because it relates to feedback.

6. Confidential, regulated, and export-controlled data

The early-access Services are not currently designed or contractually approved for information requiring specialized security, regulatory, confidentiality, data-residency, or export-control safeguards.

Unless Daedalus expressly agrees otherwise in a signed writing, do not submit:

  • classified information or controlled unclassified information;
  • technical data controlled under the International Traffic in Arms Regulations (ITAR), Export Administration Regulations (EAR), sanctions programs, or comparable laws in any applicable jurisdiction;
  • information subject to a third party’s nondisclosure or confidentiality obligations if use of kloo has not been authorized;
  • protected health information, full payment-card data, government identification numbers, biometric identifiers, or similarly sensitive personal information;
  • security credentials, private cryptographic keys, or production secrets; or
  • information for which your organization requires controls that kloo has not expressly documented and accepted.

These restrictions apply based on the laws and obligations relevant to you and the content—not only United States law. You are responsible for determining whether content is subject to a restriction. Contact us before using kloo for a project with specialized requirements. Future enterprise or regulated offerings may be governed by additional written agreements and controls.

7. Third-party services, repositories, and AI tools

The Services may allow you to connect repositories, cloud drives, payment services, engineering tools, AI systems, or other third-party services. If you connect or direct kloo to interact with a third party, you authorize us to exchange the information necessary to follow your instruction.

Third-party services are controlled by their providers and governed by their own terms, privacy notices, security practices, availability, and usage limits. Daedalus is not responsible for a third party’s acts or omissions and does not guarantee continued compatibility or availability.

kloo does not replace your responsibility to review an AI tool’s provider, settings, data-use terms, and output. You are responsible for deciding what context an agent may access and for independently reviewing AI-generated or AI-modified work. Outputs may be incomplete, incorrect, or unsuitable for safety-critical use.

8. Early access, changes, and availability

Some or all features may be offered on an early-access, preview, experimental, or limited-availability basis. Those labels describe product maturity and support expectations; they do not replace these Terms or applicable law.

Engineering software is never “finished” in the artistic sense, but users still need to understand when features may change substantially. During early access, we may add, modify, restrict, suspend, or discontinue features; reset test data; change supported formats or integrations; or impose new limits. We will use reasonable efforts to avoid unnecessary disruption and to provide notice of changes that materially affect active users, but we do not promise uninterrupted availability or a service-level commitment unless stated in a separate written agreement.

You should maintain independent copies and appropriate source-of-truth records for important project content. Do not rely on early-access Services as the sole repository for designs, compliance records, release artifacts, or other critical information.

9. Paid services

If we offer paid plans, pricing, billing periods, included usage, renewal terms, and any trial terms will be presented before purchase or in an order form. Stripe or another payment provider may process payments. You authorize applicable charges, taxes, and recurring renewals disclosed at purchase.

You may cancel a recurring plan using the available account controls or by contacting us. Unless stated otherwise at purchase, cancellation takes effect at the end of the current billing period. Fees are non-refundable except where required by law or expressly stated in the applicable purchase terms. We will provide advance notice of material price changes where required.

10. kloo and Daedalus intellectual property

The Services, including software, interfaces, designs, documentation, trademarks, and content provided by Daedalus, are owned by Daedalus or its licensors and are protected by intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for their intended purpose.

“kloo,” the kloo mark, and related branding are trade names, trademarks, or other brand identifiers of Daedalus Embedded, Inc. These Terms do not grant permission to use our branding except to identify the Services accurately.

11. Suspension and termination

You may stop using the Services at any time. You may request account deletion by contacting us. We may suspend or terminate access if we reasonably believe you violated these Terms, created a security or legal risk, failed to pay applicable charges, or used the Services in a way that could harm users, third parties, or the Services.

Where practical and appropriate, we will provide notice and an opportunity to address the issue. We may act immediately when necessary to prevent harm, respond to legal requirements, or protect security. Sections that by their nature should continue—including ownership, payment obligations, disclaimers, liability limitations, and dispute provisions—survive termination.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” DAEDALUS DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR SUITABLE FOR ANY PARTICULAR ENGINEERING, SAFETY, REGULATORY, OR PRODUCTION PURPOSE.

You are responsible for engineering judgment, verification, validation, testing, backups, access configuration, and compliance decisions. Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAEDALUS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA; OR COSTS OF SUBSTITUTE SERVICES, ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF DAEDALUS FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DAEDALUS FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100.

These limitations do not apply to liability that cannot be limited under applicable law. Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to you.

14. Responsibility for third-party claims

If you use the Services on behalf of a business or organization, that organization will defend and indemnify Daedalus from third-party claims, damages, and reasonable costs arising from its Customer Content, unlawful use of the Services, or material violation of these Terms, except to the extent caused by Daedalus. This section does not apply to individual consumers where prohibited by law.

15. Disputes and applicable law

Please contact us first so we can try to resolve a concern informally. These Terms do not require individual arbitration or waive participation in a class action. A dispute may be brought in a court that has lawful jurisdiction, and applicable law and venue will be determined under ordinary legal rules. Nothing in these Terms limits mandatory consumer protections or statutory rights available where you live.

16. Changes to these Terms

We may update these Terms as the Services and legal requirements evolve. We will post revised Terms with a new effective date and provide additional notice of material changes where required. Changes generally apply prospectively. If you do not agree to updated Terms, you must stop using the Services before they take effect.

17. General terms

These Terms and any applicable additional written terms are the entire agreement concerning the Services. If a provision is unenforceable, it will be modified only as much as necessary, and the remaining provisions will continue. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, reorganization, financing, or sale of our business. Neither party is liable for delay caused by events beyond its reasonable control, except for payment obligations.
